Disney Announces Slate of Nominees for 2024 Annual Shareholders Meeting

The Walt Disney Company has announced its slate of 12 nominees for election at the 2024 Annual Meeting of Shareholders. The Board of Directors has recommended shareholders to vote for the following nominees: Mary T. Barra, Safra A. Catz, Amy L. Chang, D. Jeremy Darroch, Carolyn N. Everson, Michael B.G. Froman, James P. Gorman, Robert A. Iger, Maria Elena Lagomasino, Calvin R. McDonald, Mark G. Parker, and Derica W. Rice.

These director candidates are recognized for their significant expertise in driving strategic priorities and enhancing shareholder value across diverse businesses. They bring a range of skill sets, experiences, and professional backgrounds that align with Disney’s business and strategic objectives.

Mark G. Parker, who currently serves as Chairman of the Disney Board, is also the Executive Chairman of NIKE, Inc. and its former Chairman, President, and Chief Executive Officer. Robert A. Iger, Disney’s Chief Executive Officer, has previously held the position of Chairman. Mary T. Barra is the Chair and Chief Executive Officer of General Motors Co., while Safra A. Catz holds the position of Chief Executive Officer at Oracle Corp. and is its former President. Amy L. Chang has served as a senior executive at Cisco Systems, Inc. and Google, and is currently a director of Procter & Gamble Co. Carolyn N. Everson has held senior executive roles at Instacart, Meta Platforms, Inc., and Microsoft Corp., and is currently a director of The Coca-Cola Co. and Under Armour Inc. Michael B.G. Froman is the President of the Council on Foreign Relations and has previously served as Vice Chairman and President, Strategic Growth at Mastercard Inc. Maria Elena Lagomasino is the Chief Executive Officer and Managing Partner of WE Family Offices, and has previously held senior executive positions at JP Morgan Private Bank and Chase Manhattan Bank, currently serving as a director of The Coca-Cola Co. Calvin R. McDonald is the Chief Executive Officer of lululemon athletica inc., and Derica W. Rice has held senior executive roles at CVS Health Corp. and Eli Lilly and Co., currently serving as a director of The Carlyle Group Inc., Bristol-Myers Squibb Co., and Target Corp.

The Board has continuously refreshed its composition, focusing on directors whose industry experience complements the company’s strategic priorities. This includes the recent additions of D. Jeremy Darroch, former Executive Chairman and Group Chief Executive Officer of Sky, and James P. Gorman, Executive Chairman and former Chairman and Chief Executive Officer of Morgan Stanley, both of whom will stand for election at the annual meeting. The current Board has an average tenure of six years, with seven out of 12 members serving for less than six years, and is led by an independent chairman.
